Vista 32 bit to Windows 7 64 bit

I plan to upgrading from computer from Vista 32 bit to 7 64 bit very soon.

What I want to know is, can I just deactivate my current C1 6.x.x and download and install the 64 bit version in my new PC? Will my software key be valid on the new PC running 64 bit Windows?
